13 General Provisions
d) The English version of these Terms & Conditions shall prevail over any Chinese version, which is provided for information purposes only.
a) “KRYSTAL®” means Krystal Holdings Limited.
b) “Applicable Law” in relation to any person, action or thing means the following in relation to that person, action or thing:
i. any law, rule or regulation of any country (or political sub-division of a country);
ii. any obligation under any license in any country (or political sub-division of a country); and
iii. any lawful and binding determination, decision or direction of a regulator in any country (or political sub-division of a country).
c) “Content” includes things that you may see, read, hear, download or access on or via the Website (including but not limited to messages, files, data, software, images, photographs, illustrations, text and other materials).
d) Hong Kong means the Hong Kong Special Administrative Region of the People's Republic of China.
Terms and Conditions for Purchase of Goods
a) The Customer expressly agrees that the title to the goods shall remain vested in KRYSTAL® until KRYSTAL® has received full payment of the purchase price and other charges under this Agreement.
b) As long as the title to the goods remains with KRYSTAL®, the Customer shall take all appropriate steps to notify third parties of our title to the goods.
a) KRYSTAL® shall provide delivery of the goods to all delivery addresses in Hong Kong Island, Kowloon and New Territories on the terms set out in this "Terms and Conditions for Purchase of Goods".
b) Delivery charges shall be levied to each invoice if the order is below the minimum ordering quantity, or if KRYSTAL® agrees to deliver to a delivery address which is inaccessible by elevator or is located in a remote area (in the opinion of KRYSTAL®), or if the delivery address is inaccessible by truck. Further details of our delivery charges and delivery terms and conditions, including minimum ordering quantity for free delivery, are set out in our Customer Service Policy.
c) Any time or date of delivery named by us is an estimate only, and KRYSTAL® shall not be liable for the consequences of any delay whatsoever.
d) Should the Customer requests the delivery of goods to be carried out outside KRYSTAL®’s normal office hours, we shall be entitled to charge the Customer overtime charges.
e) Delivery may be delayed if a typhoon signal No. 8 is hoisted or a black rain storm warning is in force.
f) The goods are only offered for sale and delivery in Hong Kong and KRYSTAL® does not deliver to any location outside Hong Kong.
g) The Customer shall be responsible for the risk of any loss or damage to the goods from the moment the goods are delivered to the designated place of delivery.
a) KRYSTAL® expressly disclaims all warranties except for those implied by law.
4 Applicable Law
a) This Agreement shall be construed in accordance with the laws of Hong Kong and the Parties shall submit to the non-exclusive jurisdiction of the courts of Hong Kong in the event of dispute.
5 Limitation of Liability
a) To the extent permissible by law, KRYSTAL®’s entire liability and responsibility by reason of any breach of implied warranty or failure or delay of the goods, whether such failure or delay shall arise from accident, defect in the goods, omission, default, negligence or other acts of KRYSTAL®’s employee(s) or from any other cause, shall be limited to the cost of replacing or repairing the goods.
b) Except as provided for in clause 4.1, and to the extent permissible by law, KRYSTAL® shall not be subject to any liability or responsibility for any cost, claim, damage or loss to the Customer or to any person, body of persons or corporation resulting from any reason and cause whatsoever under this Agreement.
c) In no event shall we be liable in contract, tort (including negligence or breach of statutory duty) or otherwise for any loss (whether direct or indirect) of revenue, loss of profits or any consequential loss whatsoever under this Agreement.
6 Force Majeure
a) KRYSTAL® shall not be liable for any loss or damage resulting from delay or failure to perform the provisions in this Terms and Conditions for Purchase of Goods either in whole or in part where such delay or failure shall be due to causes beyond KRYSTAL®’s reasonable control, or which is not occasioned by our fault or negligence, including, but not limited to, war, the threat of imminent war, riots or other acts of civil disobedience, insurrection, acts of God, restraints imposed by government or any other supranational legal authority or industrial or trade disputes, fires, explosions, epidemics, pandemics and other natural calamities.
a) Any notice to be given by us to the Customer may be delivered either personally, electronically, by post or facsimile to any address as provided by the Customer. Any such notice shall be deemed to have been received and given at the time when in the ordinary course of transmission it should have been delivered at the address to which it was sent.
8 Entire Understanding
b) No amendment or variation of any provision herein shall be effective unless it is in writing and signed by a duly authorised representative of KRYSTAL®.
a) No failure or delay on the part of the parties hereto to exercise any right, power or remedy under this Terms and Conditions for Purchase of Goods shall operate as a waiver thereof, nor shall any single or partial exercise by either Party of any right, power or remedy. The rights, powers and remedies provided herein are cumulative and are not exclusive of any rights, powers or remedies by law.
a) If any provision of this Terms and Conditions for Purchase of Goods shall be construed to be illegal or invalid, they shall not affect the legality, validity and enforceability of its other provisions. The illegal or invalid provision shall be deleted from this Terms and Conditions for Purchase of Goods and no longer incorporated herein but all of its other provisionsshall remain in full force and effect.

Customer Service Policy
By placing an order with any of the ordering methods provided by KRYSTAL®, Customer accepts and agrees to be bound by any and all the terms and conditions, now existing or which may be hereinafter enacted or enforced.
KRYSTAL® may, from time to time, update these Terms and Conditions and you should read them each time you use the Website to ensure that you agree with them.
a) Each order submitted by you to purchase products on this website constitutes an offer to purchase products from KRYSTAL®. Orders are subject to KRYSTAL’s acceptance and KRYSTAL may, at its discretion, refuse to accept your order, including where:

2 Suppliers & Services

3 Payment Terms
a) KRYSTAL® only accepts payment by credit card or unionpay.
b) Your offer to purchase made on this Website shall be subject to KRYSTAL®’s sole discretion and may not be accepted subject to the availability of stock.
c) There may be discrepancies between the online invoice and the final invoice due to the availability of stock and/or special offers. A final and conclusive invoice will be sent to you via email.
d) If you request a variation to the order which KRYSTAL accepts, the price payable for the order will be adjusted accordingly to reflect the variation and shall be recorded on the final invoice presented to you upon delivery.
e) KRYSTAL® reserves the right to change the payment terms for any order without prior notice.
f) When ordering a product or service or accessing a benefit, you may be required to provide your Payment Card details. g) You undertake that all details you provide to KRYSTAL® for the purpose of booking, ordering or purchasing products or services are correct, that the Payment Card you are using is your own and that there are sufficient funds to cover the cost of the product or the service.
h) From time to time the procurement or provision of certain services, products or benefits may incur a handling charge (of which you will be notified) - in these cases you hereby authorise KRYSTAL® to debit your Payment Card with any such handling charges.
4 Refund/Replace Policy
a) All sold items are non-refundable, except for defective products. Customer is responsible for inspection of products on arrival and shall by two business days day notify KRYSTAL® in office hours for any problem found. If such notice is not given within two business days, Customer shall be bound to have accepted the products.
b) It is the receiver’s responsibility to check the condition of any goods received, at the time of delivery.
c) Refund/Replace is only available when valid original receipt is provided.
a) Products will be dispatched within three business days upon the acceptance of order.
b) Delivery service is only available in Hong Kong Island, Kowloon and New Territories of Hong Kong Special Administrative Region.
c) Free delivery service is applicable for any orders of five cases or more. Otherwise, a delivery fee of [$50] shall apply.
d) Delivery to the following locations is subject to ourdiscretion and additional delivery fee shall apply (charges to be quoted for each invoice).
i. Outlying islands, remote or restricted areas;
ii. Areas that cannot be reached directly by delivery vehicles;
iii. Buildings without a functioning lift; or
iv. Premises which have no legal unloading areas within 50 meters of the building.
e) KRYSTAL® will use reasonable endeavours to deliver products of acceptable quality to the delivery address specified on the registration form or last on record within the time slots selected by you but KRYSTAL® shall not be liable for any delays or non-delivery for causes beyond our control.
f) In the event of a lift breakdown during delivery KRYSTAL® will make arrangement to deliver the goods at another time.
g) All deliveries shall be signed off by you and KRYSTAL®’s deliveryman by entering your names and the time of delivery on the delivery form. You shall ensure that a person aged 16 or above who is authorised to receive and pay for the order is present at the specified time of delivery at your address to receive and pay for the order. If no such person is present, the delivery shall be withdrawn and attempted at another time agreed.
h) Normal delivery hours are within 9:00 a.m. to 5:00 p.m. Monday to Friday, except on Saturdays, Sundays and statutory holidays.
i) KRYSTAL® reserves the right to charge an additional delivery fee if the recipient is not available to accept delivery at the nominated delivery time.
j) Customer shall understand that actual delivery may be affected by traffic and weather conditions. KRYSTAL® aims to deliver as scheduled to designated point to the best of its ability but not guarantee any date or time of delivery as mentioned and is not liable for any loss arising from the delay of delivery.
k) Delivery service will be suspended on statutory holidays and in times of black rainstorm warning or typhoon signal No.8 or above is in effect. Outstanding orders will be arranged in next schedule or on the other day whichever is earlier, subject to the availability of delivery resource.
l) Customer accepts that the title to the products shall remain KRYSTAL®’s until full payment of the products is settled while the risk of any loss or damage to the products shall be with Customer from the arrival of the products. KRYSTAL® e has no responsibility for the products left outside or unattended at delivery point per Customer’s request.
m) It is the responsibility of the customer to notify KRYSTAL® immediately of any change to their address.
n) KRYSTAL® reserves the right to decline delivery of goods to any customer at KRYSTAL®’s sole discretion absolutely.
6 Force Majeure
a) KRYSTAL® shall not be liable for any delay or failure in its performance caused by or resulting from acts of God, fire, flood, accident, riot, war, government intervention, embargoes, strikes, labour difficulties, equipment failures, or any other causes beyond the control of KRYSTAL®.
7 Limitation of Liability
a)KRYSTAL® will not be liable to you under a contract for:
i. any loss of profit, loss of income, loss of business, loss of revenue or loss of goodwill;
ii. any loss or corruption of or damage to data; or
iii. any loss or damage which was not a reasonably foreseeable result of either KRYSTAL®’s breach of contract or breach of its legal duty of care. Loss or damage is "reasonably foreseeable" if, at the time that KRYSTAL® and you entered into a contract, such loss was either contemplated by KRYSTAL® and you or you notified KRYSTAL® that the loss may occur if KRYSTAL® breached the contract or KRYSTAL®’s legal duty of care.
b) No waiver (whether effected by a positive waiver or by a delay or failure in enforcement) by KRYSTAL® of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default.
c) If any provision of these Terms & Conditions shall be held to be illegal or unenforceable, in whole or in part, under any applicable law, enactment or regulation, such provision or part thereof shall, to that extent, be deemed not to form part of this Agreement but the validity and enforceability of the remainder of these Terms & Conditions shall not be affected.
d) These Terms & Conditions shall be governed by and construed in accordance with the laws of Hong Kong, and you hereby agree to irrevocably submit to the non-exclusive jurisdiction of the courts of Hong Kong as regards any claim, dispute or matter arising hereunder.

b) KRYSTAL® may liaise with customer by one or a combination of channels, email, facsimile, phone call or voicemail, SMS message, mail, visit in person or post on website. Any notice shall be deemed to be effective at the time when it is delivered to Customer.
c) All pictures of products shown in the website and printed on promotional materials are for reference only.
d) KRYSTAL® reserves the right of products and services offer, pricing adjustment and amendment to these terms and conditions. Should there be any dispute, KRYSTAL reserves the right of final decision.

a) Types of Personal Data Collected

4 Retention of Personal Data
KRYSTAL® will destroy any personal data we may hold in accordance with KRYSTAL®’s internal retention policy. The policy states that:
a) Personal data is purged from our electronic, manual, or other filing systems in accordance with specific schedules based on the above criteria and our internal procedures; and
b) Personal data will only be retained for as long as it is necessary to fulfill the original or directly related purpose for which it was collected, unless the personal data is also retained to satisfy any applicable statutory or contractual obligations.
5 Accuracy of Personal Data
a) KRYSTAL® will, where possible, validate data provided using generally accepted practices and guidelines. This includes the use of check sum verification on some numeric fields such as account numbers or credit card numbers. In some situations, we are able to validate the data provided against pre-existing data we hold. In some instances, as per the requirements of the Ordinance, KRYSTAL® is required to see original documentation before we may use the personal data, such as with Personal Identifiers or proof of address.
KRYSTAL® currently provide online access to and correction of personal data it holds, and fully comply with the provisions of the Ordinance on "Rights of Access and Correction”. Please refer to the section titled "Access and Correction of Personal Data" below for details on how you can obtain and correct any personal data relating to you that KRYSTAL® may hold.
6 Disclosure of Personal Data
All personal data we hold will be kept confidential but KRYSTAL® may, when such disclosure is necessary to satisfy the purpose or a directly related purpose for which the data was collected, provide information to the following parties:
a) Any subsidiaries, holding companies, associated companies, affiliates of, companies controlled by, or under common control with KRYSTAL;
b) Any person or company acting for or on KRYSTAL®’s behalf, or jointly with KRYSTAL®, in respect of the purpose or a directly related purpose for which the data was provided;
c) Any financial institutions, charge or credit card issuing companies, credit information or reference bureau, or collection agencies necessary to establish and support the payment of any services being requested; and
d) Any other person or company under a duty of confidentiality to KRYSTAL® and has undertaken to keep such information confidential, provided such person or company has a legitimate right to such information.
Personal data may also be disclosed to any person or persons who have a right under the Ordinance to gain access to such information, provided they are able to prove their authority to access such information. For example, if we were served with a court order demanding certain customer information then we would disclose the information to the duly appointed officer of the court or such other persons as the court orders.
7 Transfer of Personal Data Outside of Hong Kong
At times it may be necessary and prudent for us to transfer certain personal data to places outside of the Hong Kong SAR in order to carry out the purposes, or directly related purposes, for which the personal data was collected. When such a transfer is performed, it will be done in compliance with the requirements of the Ordinance.
8 Security of Personal Data
Physical records containing personal data is securely stored in locked areas or containers when not in use. Computer data is stored on computer systems and storage media to which access is strictly controlled and/or is located within restricted areas.
Access to records and data without appropriate management authorization is strictly prohibited. Authorizations are granted only on a "need to know" basis that is commensurate with an individual's responsibilities and training. Records are under the control of assigned information officers, who are responsible to ensure the transfer of or access to information is legitimate and complies with the Ordinance.

9 Access and Correction of Personal Data
Under the terms of the Ordinance, individuals have the right to:
a) Check if KRYSTAL® holds any personal data relating to them and, if so, obtain copies of such data;
b) Ascertain KRYSTAL®’s policies and practices in relation to personal data, which are those policies and practices set out in their entirety herein; and
c) Require KRYSTAL® to correct any personal data relating to them which is inaccurate for the purpose for which it is being used.
